1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and RankWinz ("we", "us", or "our"), a specialist SEO link building agency operating at rankwinz.com. By submitting an enquiry, signing a service proposal, or engaging our services in any capacity, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety.
If you do not agree to these Terms, you must not engage our services or use this website. We reserve the right to update these Terms at any time. Continued use of our services following notification of any changes constitutes your acceptance of the revised Terms. The date of the most recent revision is indicated at the top of this page.
2. Services Description
RankWinz provides specialist SEO link building services, including but not limited to: editorial outreach link placements, crowd and community link building, foundation and citation link building, private blog network (PBN) setups, and multi-tier link building. The specific services, deliverable volumes, and campaign parameters applicable to your engagement are defined in the written service proposal accepted by both parties prior to campaign commencement.
All services are provided on a business-to-business basis. You represent and warrant that you are engaging RankWinz on behalf of a legitimate business entity and that the domain(s) submitted for the campaign are owned or controlled by you and are used for lawful purposes.
3. Service Engagement and Onboarding
A service engagement begins upon written acceptance of a RankWinz proposal and receipt of the first invoice payment. Upon engagement confirmation:
Onboarding documentation, including a campaign brief and strategy questionnaire, will be sent within 2 business days.
A dedicated campaign manager will be assigned to your account.
A campaign strategy document will be delivered within 10 business days of completed onboarding.
A donor site shortlist for your approval will be submitted before any placements are made.
First link placements will typically be delivered within 3 weeks of campaign launch, subject to editorial scheduling and donor availability.
Campaign timelines are estimates based on typical editorial scheduling. Delays caused by factors outside our control — including third-party editorial decisions, domain access issues on the client's side, or force majeure events — do not constitute a breach of these Terms.
4. Payment Terms
All services are invoiced monthly in advance at the beginning of each billing cycle. The following payment terms apply:
Payment due date: Invoices are due within 14 calendar days of the invoice date.
Currency: All invoices are issued in USD or GBP as specified in your proposal.
Late payment: Invoices not settled within 14 days will incur a late payment fee of 2% of the outstanding balance per month (or part thereof), calculated from the due date until the date of full payment.
Campaign suspension: We reserve the right to suspend campaign activity for accounts with overdue invoices exceeding 21 days. Suspended campaigns will be resumed within 5 business days of payment receipt.
Payment methods: We accept bank transfer (BACS/SWIFT), credit/debit card via secure payment link, and PayPal for international clients. Payment details are provided on each invoice.
5. Refund Policy
Due to the nature of editorial link placements and the time and resource investment involved, our refund policy is as follows:
Pre-commencement cancellation: If you cancel in writing before campaign strategy has been delivered and no outreach activity has commenced, you are entitled to a full refund of any pre-paid amount.
Post-commencement cancellations: Once link placement activity has begun (outreach sent, content created, or any link live), no refund will be issued for the current billing period. Work completed to date is billable.
Partial refund for uncompleted work: If a campaign is terminated mid-cycle and a significant portion of the agreed monthly deliverables have not yet been delivered due to circumstances within our control, we will offer a pro-rated credit against future services or a partial refund at our discretion.
Link removal: We do not offer refunds in the event that a placed link is subsequently removed by a third-party publisher. We will make reasonable efforts to replace any link removed within 12 months of placement, where feasible.
6. Client Responsibilities
To ensure effective campaign delivery, clients agree to:
Provide accurate and complete information about their domain, target pages, and campaign goals during onboarding.
Review and approve donor site shortlists and anchor text plans within 5 business days of submission. Failure to respond within this window will be treated as approval to proceed.
Notify RankWinz of any significant website changes — including domain migrations, URL restructuring, or disavow file updates — that may affect link equity or placement validity before implementing such changes.
Not alter, redirect, or remove target URLs where links have been placed without prior written notification to RankWinz. Unilateral changes to linked URLs may reduce or eliminate the value of placements made on your behalf.
Ensure their website complies with all applicable laws and does not promote illegal, harmful, or deceptive content. RankWinz reserves the right to terminate services if the client's website is found to be in violation of applicable law or Google's Webmaster Guidelines in ways that create legal or reputational risk for our team or donors.
7. Intellectual Property
The following intellectual property provisions apply to all RankWinz engagements:
Client ownership: Campaign reports, strategy documents, and any content created exclusively for placement on your behalf become your property upon full payment of all outstanding invoices relating to that work.
RankWinz proprietary assets: Our donor network, outreach templates, vetting methodologies, reporting frameworks, and internal processes remain the sole property of RankWinz at all times. Clients do not acquire any rights to these assets through engagement.
Third-party content: Content published on donor sites as part of placement campaigns is subject to the editorial and intellectual property terms of those third-party publishers. We do not guarantee the transferability or exclusivity of such content.
8. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the course of the engagement, including but not limited to: client business data, campaign strategy details, pricing, donor network information, and communications. This obligation applies during the term of the engagement and for a period of 2 years following its conclusion.
Clients specifically agree not to disclose, reproduce, or share details of RankWinz's donor network, outreach methods, or pricing structures with third parties, including competitor agencies. RankWinz will not share client campaign data with third parties except as required to deliver the service or as required by law.
9. Results Disclaimer
SEO and link building results are inherently variable and depend on numerous factors outside our control, including search engine algorithm updates, competitor activity, the client's website quality and technical SEO baseline, and broader market conditions. Accordingly:
RankWinz makes no guarantee of specific ranking improvements, traffic increases, or revenue outcomes.
Historical case study results referenced on our website are illustrative of past performance and are not a guarantee of future results for any specific client or campaign.
Google algorithm updates may positively or negatively affect rankings irrespective of link building activity. We are not liable for ranking changes caused by algorithm modifications beyond our control.
We commit to building links that align with Google's quality guidelines to the best of our professional judgement, but we cannot guarantee immunity from manual actions or algorithmic penalties.
10. Limitation of Liability
To the maximum extent permitted by applicable law, RankWinz's total aggregate liability to the Client for any and all claims arising out of or in connection with the services or these Terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by the Client to RankWinz in the three months immediately preceding the event giving rise to the claim.
In no event shall RankWinz be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profit, loss of data, or loss of business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Termination
Either party may terminate a service engagement by providing 30 days' written notice to the other party. The following termination conditions apply:
Minimum contract period: All engagements are subject to a 6-month minimum contract period. Notice of termination cannot take effect before the end of this minimum period unless termination is for cause.
Termination for cause: Either party may terminate immediately upon written notice if the other party commits a material breach of these Terms that is not remedied within 14 days of written notice of the breach.
Client payment obligations on termination: All fees for work completed or in progress at the time notice is given remain payable. Termination does not release the Client from any outstanding payment obligations.
Post-termination links: Links placed on third-party editorial sites during the campaign will remain live at the discretion of those publishers. RankWinz does not remove placed links upon termination.
12. Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this page and notify active clients via email at least 14 days before the changes take effect. Your continued use of our services after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must notify us in writing within the 14-day notice period and may exercise your right to terminate in accordance with Section 11.
